Terms of Service
1. Service Description
The Service is a content production and operations tool for TikTok Shop sellers and creators. Its main features include: connecting your TikTok Shop account and syncing product, order, and analytics data through the official TikTok Shop API, generating commerce videos and image/text content with AI, publishing content to TikTok Shop on your behalf, and analyzing content performance and sales data. Product and data syncing is performed through the official TikTok Shop API; content publishing is currently performed via browser automation, and if we later integrate an official publishing interface, we will migrate to the official API.
The Service is not operated by TikTok or its affiliates and has no affiliation, agency, or joint-venture relationship with TikTok. "TikTok" and "TikTok Shop" are trademarks of their respective owners.
2. Account Registration and Security
- You must be at least 18 years old and have full legal capacity to register for and use the Service. If you use it on behalf of a business, you represent that you are authorized to accept these Terms on that business's behalf.
- You must provide true, accurate, and complete registration information and safeguard your account credentials. You are responsible for all activity conducted through your account.
- If you discover any unauthorized use of your account, notify us immediately.
3. TikTok Shop Account Connection and Platform Rules
- Using shop-related features requires your express authorization: product, order, and analytics data is obtained through the official TikTok Shop API after you authorize us via the official TikTok Shop OAuth flow, and we access it only within the authorized scopes; the content publishing feature separately requires your authorization to store your account login session credentials (encrypted). See the Privacy Policy for details.
- You may revoke the API authorization in TikTok Shop Seller Center or disconnect the shop within the Service at any time; after revocation or disconnection the related features will stop operating, and we will delete the relevant data as described in the Privacy Policy.
- Automated publishing risk notice: in the current version, the content publishing step is performed via browser automation (rather than the official TikTok Shop API). This publishing method may not be permitted under TikTok's platform rules and carries the risk of being detected by the platform and subject to risk-control measures (including but not limited to verification challenges, rate limiting, feature restrictions, or account penalties). You acknowledge that you are aware of and voluntarily assume this risk; we recommend that you use the automated publishing feature prudently based on your own account situation.
- While using the Service, you must still comply with all TikTok Shop platform rules (including its terms of service, product and content policies, and advertising and marketing standards). You are solely responsible for any penalties (including rate limiting, delisting, or bans) resulting from content you publish that violates platform rules.
4. User Content and AI-Generated Content
- Your materials: you retain all rights to the product materials, copy, and other content you upload, and grant us a limited license necessary to provide the Service (store, process, generate, publish). You represent and warrant that you have lawful rights to the uploaded materials and that they do not infringe any third-party rights.
- AI-generated content: to the extent permitted by law and provided you comply with these Terms, videos, images, and scripts generated through the Service may be used by you for commercial purposes. Generated content will automatically carry AIGC (AI-generated content) labeling as required by the platform.
- Content responsibility: you bear full responsibility for the content you confirm and publish, including its authenticity, legality, and compliance. AI-generated results may contain errors or inaccuracies; please review before publishing.
5. Usage Restrictions
You must not use the Service to:
- publish false, exaggerated, or misleading claims, or content that infringes others' intellectual property, likeness, or privacy rights;
- circumvent or interfere with the TikTok Shop platform's review, rate-limiting, or security mechanisms;
- reverse engineer, scrape, or resell the Service in bulk, or rent or lend your account to third parties;
- upload malicious code or interfere in any way with the normal operation of the Service;
- engage in any other conduct that violates applicable laws, regulations, or platform rules.
6. Subscription, Credits, and Billing
- The Service is provided on a subscription basis, with content generation metered in credits. Plan entitlements, prices, and credit rules are governed by the ordering page or order confirmation.
- Auto-renewal: subscription plans renew automatically. After you give explicit consent on the subscription confirmation page and enroll, we will automatically charge the fee for each billing cycle to your payment method at the start of that cycle, until you cancel. The detailed rules (billing plans and amounts, payment notices, cancellation, and refunds) are set out in the Auto-Renewal Service Agreement, which forms part of these Terms.
- Stripe processes payments and may send receipts or renewal notices depending on its configuration and applicable rules; we do not guarantee an email before or after every renewal charge. You can review the next billing date and cancel renewal at any time in the subscription management page.
- Subscription plans may be upgraded, downgraded, or canceled at any time. To cancel: sign in and go to "Account → Plan & Billing → Manage / Unsubscribe", or contact [email protected]. After cancellation you may continue to use the Service until the end of the current billing cycle, and no further charges will occur thereafter.
- Except as required by law or otherwise agreed in the order, fees paid are non-refundable; however, if a charge is made without your authorization due to account takeover or similar reasons, we will, once verified, cancel the relevant subscription and debit authorization and refund the unauthorized amounts.
- If we adjust prices, we will provide advance notice; adjustments do not affect billing cycles already in effect.
7. Intellectual Property
All intellectual property in the Service's software, interface, trademarks, and documentation belongs to us or the respective rights holders. Except for the usage rights expressly granted in these Terms, you may not copy, modify, distribute, or otherwise use them without written permission.
8. Disclaimers
- The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we make no express or implied warranties as to uninterrupted operation, error-free performance, merchantability, or fitness for a particular purpose.
- We do not guarantee any content performance, traffic, or sales results. Historical data and examples do not constitute promises about future results.
- We are not liable for service interruptions, publishing failures, or feature restrictions caused by changes to the TikTok Shop platform's page structure or interfaces, adjustments to its risk-control strategy, platform policy changes, or force majeure, but we will make reasonable efforts to restore service.
9. Limitation of Liability
To the maximum extent permitted by law, our total aggregate liability arising from the Service will not exceed the service fees you actually paid in the 12 months preceding the event giving rise to the claim; we are not liable for indirect losses, lost profits, loss of data, or punitive damages. Liability that cannot be excluded or limited by law is not affected by this clause.
10. Termination
- You may stop using the Service and close your account at any time.
- If you seriously or repeatedly violate these Terms, we may suspend or terminate the Service to you; in serious cases, we may decline to refund remaining fees.
- After termination, we will handle your data as described in the Privacy Policy.
11. Changes to These Terms
We may revise these Terms from time to time. We will provide advance notice of material changes via in-app notification or email; if you continue to use the Service after changes take effect, you are deemed to accept the revised Terms.
12. Governing Law and Dispute Resolution
The formation, validity, interpretation, and dispute resolution of these Terms are governed by the laws of the place of registration of the operating entity (excluding conflict-of-laws rules). Disputes arising from these Terms should first be resolved through good-faith negotiation; if negotiation fails, they will be submitted to a court of competent jurisdiction at the operating entity's location.
